User Agreement

1. Introduction and Scope

This User Agreement governs your access to and use of [gracelandcorp.com] (the “Website”), operated by [Graceland Lifescience Corporation Limited] under the Graceland brand (“Graceland,” “we,” “us,” or “our”).

Please read this Agreement before using the Website. Where acceptance is required by applicable law, we will request it through an appropriate process. If you do not agree to these terms, please discontinue use of the Website.

This Agreement governs website use. Product purchases, sample supplies, distribution arrangements, employment relationships, and other transactions are subject to the separate terms agreed for those activities.

2. Eligibility and Authority

You must have the legal capacity required to use the Website and submit inquiries.

If you act on behalf of a company or another organization, you confirm that you are authorized to provide its information and communicate on its behalf. You must not misrepresent your identity, authority, or business affiliation.

3. Permitted Use

You may use the Website for lawful purposes, including reviewing company information, exploring products, making business inquiries, and applying for advertised positions.

You agree not to:

• Submit unlawful, fraudulent, misleading, defamatory, or infringing material.

• Introduce malicious software or attempt unauthorized access.

• Interfere with the Website, its infrastructure, or other users.

• Use automated tools in a way that disrupts operation, bypasses access controls, or infringes applicable rights.

• Copy or commercially exploit Website content beyond the permission granted in this Agreement.

• Use information obtained through the Website to violate applicable laws or third-party rights.

4. Product and Technical Information

Product descriptions, specifications, application examples, brochures, and other materials are provided for general business information.

Unless expressly confirmed in a separate written agreement, Website content does not constitute a binding quotation, purchase offer, product warranty, regulatory approval, or commitment that a product is suitable for a particular application or market.

Before purchasing or using a product, obtain the current specifications, safety data sheets, certificates, handling instructions, and other documents relevant to the proposed use.

You are responsible for assessing the suitability of a product for your application and complying with applicable requirements concerning handling, storage, transport, manufacturing, labeling, and use.

Any product warranty or supply obligation is governed by the applicable written contract and mandatory law.

5. Inquiries and Transactions

Submitting an inquiry, requesting a sample, or receiving an automated acknowledgment does not by itself create a sales contract or guarantee supply.

Prices, availability, minimum order quantities, delivery dates, payment terms, and other commercial conditions must be confirmed through the applicable quotation, order confirmation, or written agreement.

If a separate agreement conflicts with these website terms on a matter covered by that agreement, the separate agreement governs that matter, subject to applicable law.

6. Intellectual Property

Website content, including text, photographs, graphics, logos, videos, downloads, layouts, and software, is owned by Graceland or its licensors unless otherwise stated.

You may view the Website and download materials expressly made available for download for legitimate evaluation or internal business purposes. You must preserve copyright, trademark, and other proprietary notices.

Except as permitted by applicable law or expressly authorized in writing, you may not reproduce, modify, distribute, publish, sell, or commercially exploit Website content.

No permission to use our trademarks, logos, patents, or other intellectual property is granted merely by accessing the Website.

7. Information You Submit

You are responsible for ensuring that information you submit is accurate, relevant, lawful, and provided with any necessary authorization.

You permit us to use submitted information to respond to your request, evaluate the proposed relationship, and carry out related communications, subject to our Privacy Policy and applicable law.

Please do not submit trade secrets or other confidential business information through general website forms unless a suitable confidentiality arrangement has first been agreed.

Nothing in this section transfers ownership of your intellectual property to us.

8. Privacy

Our collection and use of personal information are described in the Privacy Policy available at [PRIVACY POLICY URL].

Where a processing activity requires consent, we will request it separately as required. Acceptance of this Agreement does not replace any consent required under applicable privacy law.

9. Third-Party Links

The Website may contain links to external websites or services for convenience.

A link does not by itself constitute an endorsement. We do not control the content, availability, or practices of independently operated websites. Your use of those websites is subject to their applicable terms and policies.

10. Availability and Information Accuracy

We take reasonable steps to maintain the Website and keep its content accurate. However, information may contain errors, become outdated, or change.

The Website may be interrupted for maintenance, updates, security reasons, or circumstances beyond our reasonable control. We do not promise uninterrupted availability or that every item of content will be complete or current.

Please contact us to confirm information that is material to a business decision.

11. Responsibility and Liability

Each party is responsible for losses caused by its breach of this Agreement to the extent provided by applicable law.

To the extent permitted by applicable law, Graceland is not responsible for indirect or consequential losses arising from Website use, including losses resulting from reliance on general Website information without obtaining necessary confirmation.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud, intentional misconduct, or other circumstances protected by mandatory law.

This section does not replace warranties or remedies expressly provided in a separate product or service agreement.

12. Restricting Website Access

We may restrict or suspend access where reasonably necessary to address a security threat, unlawful activity, a material breach of this Agreement, or a legal requirement.

Where appropriate and practicable, we will provide notice and an opportunity to address the issue. Restrictions will be proportionate to the circumstances and subject to applicable law.

13. Changes to the Website and This Agreement

We may update Website content, features, and this Agreement. Changes to this Agreement will be identified by an updated date.

Material changes will be communicated through an appropriate notice. Where applicable law requires acceptance of revised terms, we will obtain that acceptance before those terms apply.

Changes will not retroactively alter rights or obligations under an existing separate agreement unless the parties agree or applicable law requires otherwise.

14. Governing Law and Disputes

This Agreement is governed by the laws of [GOVERNING JURISDICTION], subject to any mandatory protections that apply to you.

If a dispute arises, please contact us first so that we can attempt to resolve it through good-faith discussions.

If the dispute cannot be resolved, it may be submitted to the competent courts of [COURT LOCATION], to the extent that this choice of court is valid under applicable law.

15. General Terms

If a provision is found invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

A failure to enforce a provision on one occasion does not waive the right to enforce it later.

If this Agreement is provided in more than one language, [SPECIFY THE CONTROLLING LANGUAGE OR HOW LANGUAGE DIFFERENCES WILL BE RESOLVED], subject to mandatory law.
